Community Values (Plain English)
We celebrate creators and protect fans. Keep your storefront brand-safe. No nudity in listing images, no explicit or degrading language, and no graphic content anywhere on the platform. If you break the rules, we'll remove the listing and tell you why. Two strikes lead to a permanent ban. Help us keep FanVault fun, kind, and judgment-free.
These Terms of Service (the "Terms") form a binding agreement between you and FanVault, Inc. ("FanVault," "we," "us," or "our") governing your access to and use of our website(s), apps, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & Accounts
Age. You must be 18 years or older to use the Service. We may require age and identity verification (including government ID) and may suspend or terminate access if we cannot verify eligibility.
Registration. You agree to provide accurate, current, and complete information; maintain and promptly update your information; and maintain the security of your credentials. You are responsible for all activity under your account.
Creators vs. Fans. Users may register as Creators (sellers) or Fans (buyers). Certain features are only available to Creators or to Fans.
2. What FanVault Is (and Isn't)
Marketplace Role. FanVault is a marketplace and platform provider. We do not take possession of items listed by Creators and are not a party to the sale between Creator and Fan. We provide payments, shipping-label, and moderation tooling to facilitate transactions.
No Professional Advice. The Service and any materials are provided for convenience only and do not constitute legal, tax, or professional advice.
3. Content Standards (Brand-Safe Listings)
FanVault destigmatizes selling to fans while maintaining a brand-safe storefront across our site, apps, payment processors, and partners. All user-generated content (including profile content, listing titles, descriptions, images, videos, and comments) must follow these non-negotiable standards:
- No Nudity. Listing media may not contain nudity or partial nudity. Prohibited examples include exposed genitals, bare buttocks, visible areola or nipples, sheer/see-through or otherwise transparent coverage of those areas, implied sex acts, or sexually explicit posing.
- No Explicit/Degrading Language. No profanity, sexualized descriptions, pornographic, fetish, obscene, violent, hateful, harassing, degrading, or discriminatory language.
- No Graphic Content. No gore, bodily fluids, violence, self-harm, or other graphic depictions.
- PG-13 Baseline. All listing media should be appropriate for a general audience preview (clothing-only product shots encouraged). If in doubt, do not post—ask Support first.
- No Minors / No Sexualization of Young-Appearing Persons. Absolutely no depiction or implication involving minors. Do not post content featuring persons who appear under 18, regardless of actual age.
- Prohibited Items & Uses. You may not list, buy, or sell: illegal, stolen, counterfeit, infringing, recalled, unsafe, hazardous, biohazardous, perishable, or regulated items (e.g., weapons, explosives, narcotics, medical devices, live animals, body fluids or samples, or items prohibited by postal/carrier or export laws). Creators are solely responsible for any required warnings or disclosures (e.g., California Proposition 65) and for compliance with shipping, customs, and sanctions/embargo laws.
- Enforcement. We may remove or edit content, restrict features, suspend, or terminate accounts at our sole discretion to keep the platform and partners compliant. See §12 (Enforcement & Two-Strike Policy).
4. Creator Obligations
Accuracy & Authenticity. You represent and warrant that you: (a) own and may lawfully sell each item; (b) provide accurate, non-misleading titles, descriptions, pricing, and condition; and (c) will honor each completed sale.
Fulfillment. Ship items using the provided label within the stated timeframe (or within 3 business days if none stated). Mark orders as shipped and provide any required handling information. You are responsible for proper packaging to avoid damage.
Compliance. You will comply with all applicable laws, taxes, customs, sanctions/export controls, and carrier/postal rules. You are solely responsible for any taxes arising from your sales (we may issue 1099-K/other forms where required).
Payments & Payouts. You must maintain a valid payout method and complete any required KYC/KYB checks. You agree to the terms of our payment partners (e.g., Stripe Connect) which are incorporated by reference. We may place holds, offsets, or reserves to manage risk, chargebacks, or suspected fraud.
5. Fan (Buyer) Obligations
Bidding/Buying in Good Faith. When you place a bid or click "buy," you commit to purchase if you win or confirm checkout. Do not bid to manipulate price or without intent to purchase.
Shipping Address & Delivery. Provide a valid, deliverable address. Risk of loss transfers pursuant to carrier terms once the item is accepted by the carrier. Report delivery issues promptly via Support.
6. Transactions, Fees, and Payment Handling
Platform Fees. Creators pay a platform fee (currently 12.9%) on each sale, which includes payment processing costs. Buyers pay a separate processing fee (currently 5%) added to their purchase price. All fees are shown at checkout and are subject to change with notice.
Payment Collection. For auctions, we may pre-authorize a payment method, then capture the final amount at close. For buy-now, we collect at checkout. We may hold funds in escrow or pending status until shipment scanning or delivery confirmation.
Chargebacks & Offsets. If a Fan initiates a chargeback, we may dispute it and debit the Creator's balance (or future payouts) for the amount, plus any processor fees, if evidence shows the item was shipped as described.
7. Shipping & Risk of Loss
Labels. The Service may provide prepaid labels; otherwise the Creator must ship using trackable methods. Tracking is required.
Risk Transfer. Unless stated otherwise by applicable law, risk of loss passes to the Fan per carrier terms at acceptance. Creators should insure high-value shipments.
8. All Sales Final – Refunds by Exception Only
Our default is zero refunds. To keep the marketplace simple and abuse-resistant, all sales are final. No returns or refunds are offered except where a Fan provides sufficient evidence of wrongdoing (for example, clear proof of non-delivery, counterfeit, or materially not-as-described). If you believe wrongdoing occurred, you must contact Support at support@fanvaultshop.com promptly after delivery status (we recommend within 72 hours of carrier "delivered" scan) with photos, tracking details, and a description of the issue. We may, in our sole discretion, issue a refund, credit, or other remedy.
This policy applies to the maximum extent permitted by law. Some jurisdictions provide specific consumer rights that cannot be waived; if such rights apply, we will honor them. Nothing in these Terms limits any mandatory rights you may have under applicable law.
9. User Content & Licenses
Your Content. You retain rights in content you submit. You grant FanVault a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (formatting only), display, and otherwise use your content to operate and promote the Service.
Restrictions. You represent that your content does not infringe or violate any third-party rights and complies with §3. We may remove content that violates these Terms.
Feedback. You grant us a perpetual, irrevocable, royalty-free license to use suggestions or feedback without restriction.
10. Intellectual Property & DMCA
FanVault IP. The Service, including software, logos, and designs, is owned by or licensed to FanVault and is protected by law. You receive a limited, revocable license to use the Service for its intended purposes.
DMCA. If you believe content infringes your copyright, send a notice to support@fanvaultshop.com with: (a) your signature; (b) identification of the copyrighted work and infringing material; (c) contact information; (d) a statement of good-faith belief; and (e) a statement under penalty of perjury that your notice is accurate and you are authorized to act. We may remove or disable access to allegedly infringing content and may terminate repeat infringers.
11. Acceptable Use
You may not:
- Break laws, infringe IP, or violate third-party rights.
- List prohibited items or post content barred by §3.
- Harass, dox, or abuse others; send spam; or attempt to scrape, hack, or reverse engineer the Service.
- Evade fees, conduct off-platform transactions to avoid platform protections, or manipulate bids/prices.
- Create multiple accounts to circumvent enforcement or limits.
12. Enforcement & Two-Strike Policy
Moderation. We use automated and human review. We may remove listings, blur or reject images, edit text, limit features, withhold payouts, or suspend/terminate accounts for violations, risk, or partner requirements.
Two-Strike Rule. We typically issue a Strike when we remove content for a clear violation of §3 or §11. We will notify you and, where appropriate, provide guidance. A second Strike within 12 months results in permanent account ban. Egregious violations (e.g., minors, explicit pornographic content, fraud, threats, doxxing) may result in immediate permanent ban and referral to authorities where required.
Appeals. You may appeal a moderation action within 14 days via Support. We reserve final discretion.
13. Term; Termination
You may stop using the Service at any time. We may suspend or terminate access for any reason, including violation of these Terms, risk to users or partners, inactivity, or legal requirements. Upon termination, your licenses end and you must stop using the Service. Certain sections survive (including §§8–20).
14. Privacy
Our collection and use of personal information is described in our Privacy Policy. You consent to our use of providers (e.g., payment, shipping, analytics) that process your data to operate the Service.
15. Disclaimers
The Service and any content are provided "as is" and "as available." To the fullest extent permitted by law, FanVault disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee continuous, error-free, or secure operation, nor any particular sales outcomes.
16. Limitation of Liability
To the fullest extent permitted by law, FanVault and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to the Service or these Terms, even if advised of the possibility. Our aggregate liability for all claims shall not exceed the greater of: (a) amounts you paid to FanVault for the Service in the six (6) months preceding the claim, or (b) $100.
17. Indemnification
You will indemnify, defend, and hold FanVault and its affiliates harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content or items; (b) your use of the Service; (c) your violation of laws or these Terms; or (d) your transactions with other users.
18. Dispute Resolution; Arbitration; Class Action Waiver
Informal Resolution. Before filing a claim, you agree to email support@fanvaultshop.com with a summary of the dispute so we can attempt to resolve it informally within 30 days.
Binding Arbitration. Except for small-claims court or injunctive relief for IP misuse, all disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Venue: Los Angeles County, California (or via remote video by agreement). Judgment on the award may be entered in any court with jurisdiction.
Class Action Waiver. You and FanVault agree to arbitrate only on an individual basis; no class, collective, consolidated, or representative actions are permitted.
Right to Opt Out. You may opt out of arbitration/class waiver by sending a written notice to support@fanvaultshop.com within 30 days after you first accept these Terms, stating your name, account email, and a clear statement that you opt out. Opting out does not affect prior agreements to arbitrate.
19. Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to §18, the exclusive venue for any court proceeding will be the state and federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.
20. California Consumer Rights Notice
Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by phone at (800) 952-5210.
21. Changes to the Service or Terms
We may modify the Service and these Terms at any time. Material changes will be notified by posting an updated date or via email/in-app notice. Changes are effective upon posting unless stated otherwise. If you continue using the Service after changes, you accept the revised Terms.
22. Third-Party Terms
Use of payments, shipping, or other integrations is subject to the applicable provider's terms (e.g., Stripe, Shippo, carriers). You are responsible for complying with those terms.
23. Miscellaneous
Entire Agreement. These Terms, plus any policies referenced (Privacy Policy, Acceptable Use, Community Guidelines), are the entire agreement and supersede prior understandings related to the Service.
Assignment. You may not assign these Terms without our consent. We may assign these Terms without restriction.
Severability. If any provision is unenforceable, the remainder remains in effect.
Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
Headings. Headings are for convenience only and do not affect interpretation.

- Illegal goods; stolen property; counterfeits; infringing goods (including unauthorized replicas).
- Weapons, ammunition, explosives; firearm parts or accessories regulated by law.
- Drugs, controlled substances, paraphernalia; alcohol; tobacco/nicotine products.
- Medical devices, prescription drugs, or items requiring a prescription.
- Human remains or body parts; bodily fluids or samples; perishable or hazardous biological materials.
- Items that violate postal/carrier rules (e.g., leaking batteries, hazardous chemicals).
- Items promoting hate or violence; items depicting or sexualizing minors; any item whose sale is illegal in the buyer's or seller's jurisdiction.

Do: Flat-lay or mannequin photos of clothing; product-only shots; tasteful, non-explicit images; neutral backgrounds; descriptive, brand-safe text.
Don't: On-body photos that reveal nudity or are sexually explicit; see-through garments revealing prohibited areas; explicit slang or fetish descriptors; violent or graphic imagery.
